Welcome to Second Author. These Terms of Service (“Terms”) govern your access to and use of our website and services. By browsing, shopping, consigning, or otherwise using our platform, you agree to be bound by these Terms.
1. Eligibility
You must be at least the age of majority in your jurisdiction to use this site and enter into binding agreements.
2. Use of Site
You agree not to use the site for unlawful purposes or in violation of these Terms. You are responsible for all activity under your account.
3. Consignment & Sale of Goods
a) If you submit an item for consignment, you represent that you are the lawful owner and have the right to sell it.
b) Consignment and sale details are governed by our separate Consignment Agreement, incorporated on this page below by reference.
c) Title to a consigned item remains with the consignor until sold to a third party.
4. Authenticity & Risk Management
We authenticate all consigned items. To protect buyers and consignors, all sales are final, and we do not offer returns or exchanges.
5. Payment Terms
Payments to consignors are issued in accordance with the terms in the Consignment Agreement once an item is sold and funds are cleared.
6. Shipping & Delivery
Buyer shipping terms are set out in our Shipping Policy. Delivery timelines are estimates and not guaranteed. We are not liable for delays due to carriers or events beyond our control.
7. Chargebacks
You agree not to initiate a chargeback or payment dispute without first contacting Second Author and providing a reasonable opportunity for investigation and resolution. Initiating a chargeback without prior communication may be considered a breach of these Terms.
Second Author reserves the right to suspend accounts, refuse future services, recover associated fees and damages, and pursue all available legal remedies in cases of fraudulent or malicious chargebacks.
8. Intellectual Property
All content, trademarks, and assets on this site are owned by Second Author or its licensors. You may not use them without written permission.
9. Limitation of Liability
To the maximum extent permitted by law, Second Author is not liable for indirect, incidental, special, or consequential damages arising from your use of the site or services.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Province of Ontario, Canada. Any dispute shall be resolved in courts located in Ontario.
11. Changes to Terms
We reserve the right to update these Terms at any time. Continued use after changes constitutes acceptance.
Second Author – Consignment Agreement
Effective Date: Feb 26, 2026
By submitting an item for consignment, you (“Consignor”) agree to the following terms with Second Author (“Company”).
1. Ownership & Authenticity
You represent and warrant that:

You are the lawful owner of the item(s).

The item(s) are authentic.

The item(s) are free of liens, claims, or third-party interests.

You have full authority to consign and sell the item(s).
You agree to indemnify and hold Second Author harmless from any claims arising from breach of this representation.
2. Right of Refusal
All items are subject to inspection and authentication prior to listing.
Second Author reserves the sole right to:

Accept or reject any item.

Decline items at its discretion.
If an item is determined to be counterfeit or materially misrepresented, Second Author reserves the right to:

Refuse return of the item,

Report the matter to relevant authorities,

Recover authentication and administrative costs from the Consignor.
Return shipping for rejected items is at the Consignor’s expense.
3. Pricing and Adjustment
Second Author will recommend a listing price based on current market demand, brand performance, and item condition.
Final listing price must be approved by the Consignor prior to publication.
4. Consignment Terms
The initial consignment period is ninety (90) days from the listing date.
During this period, the item may not be withdrawn without written request and payment of the applicable early withdrawal fee.
If the item remains unsold after the initial term, both parties may agree to:

Extend the listing, or
-
Arrange return shipment at the Consignor’s expense.
5. Early Withdraw
If the Consignor elects to withdraw the item during the initial 90-day term:

A flat administrative fee of $300 will apply.

Return shipping costs are the responsibility of the Consignor.
This fee compensates for authentication, photography, listing preparation, and marketing costs already incurred.
6. Payment
Commission structure will be agreed upon prior to listing.
Payment to the Consignor will be issued only after:

The item has been sold,
-
Buyer funds have fully cleared,

The internal fraud and dispute monitoring period has passed.
Second Author reserves the right to withhold payment temporarily in the event of a payment dispute, chargeback, or fraud investigation.
If a transaction is reversed due to buyer fraud, payment processor decision, or chargeback, the Consignor agrees that Second Author may recover or offset the corresponding amount.
7. Risk of Loss & Storage
Second Author will store and handle items with reasonable care.
However, liability for loss or damage shall not exceed:

The final agreed listing price, or
-
Available insurance recovery,
whichever is lower.
Second Author is not liable for loss caused by events beyond reasonable control.
8. Final Sale Policy
All buyer sales are final.
Second Author does not offer returns or exchanges in order to preserve authentication integrity and protect consignors.
9. Limitation of Liability
To the fullest extent permitted by law, Second Author shall not be liable for indirect, incidental, or consequential damages.
Total liability shall not exceed the net amount payable to the Consignor for the item.
10. Governing Law
This Agreement is governed by the laws of Ontario, Canada.
